Terms and conditions
This translation is for convenience; the German version is legally binding.
Part A governs the use of the WINDIQ platform. Part B applies in addition to the WakeGuard and AWIS modules, Part C to assessment orders placed through the platform.
Part A: Use of the platform
§ 1 Scope
(1) These terms apply to the use of the WINDIQ platform (windiq.de) of Vidia One BidCo VI GmbH, c/o Vidia GmbH, Bürkleinstraße 10, 80538 München (“provider”) by its customers (“customer”).
(2) The platform is aimed exclusively at entrepreneurs within the meaning of § 14 BGB, legal entities under public law and special funds under public law.
(3) Deviating terms of the customer do not apply, even if the provider does not expressly object to them.
§ 2 Services
(1) The provider offers a web-based platform for planning wind energy projects. This includes in particular project management, a map for planning sites and turbine layouts, automatic pre-checks and analyses, storage of project documents, and requesting and commissioning assessments from independent assessor firms.
(2) The platform’s pre-checks and analyses are automatically calculated initial estimates based on the available data. They are not assessments and do not replace a professional review.
(3) Assessments are prepared by the assessor firms commissioned in each case, under their own responsibility. The provider does not become a party to assessment orders and owes no assessments.
(4) The provider develops the platform continuously and may change, add or discontinue features where this is reasonable for the customer.
§ 3 Account and access
(1) Use requires an account. The customer ensures that its details are correct and that only persons it has authorised use accounts in its name.
(2) Login credentials must be kept secret. If misuse is suspected, the customer informs the provider without delay.
(3) The provider may temporarily suspend an account if the customer breaches these terms or the security of the platform is at risk.
§ 4 Fees
Use of the platform is currently free of charge. Paid services are only provided under a separate agreement; the price of an assessment is stated in the assessor firm’s offer (Part C).
§ 5 Customer obligations
The customer uses the platform only to plan and review its own projects or projects entrusted to it. It does not upload unlawful content, does not access the platform automatically outside the interfaces provided, and does not interfere with its security or operation. It holds the necessary rights to documents it uploads.
§ 6 Customer data
(1) Data and documents uploaded by the customer remain the customer’s. It grants the provider the rights needed to provide the services, in particular to store, process, calculate and display them.
(2) Project data only goes to an assessor firm if the customer confirms this when sending a request. The platform shows which data this is before sending.
(3) The privacy policy applies to personal data. Where the provider processes personal data on behalf of the customer, the parties conclude an agreement under Art. 28 GDPR.
§ 7 Availability
The provider strives for high availability of the platform but does not guarantee any particular level. It announces maintenance in advance where possible.
§ 8 Liability
(1) The provider is liable without limitation for intent and gross negligence, for damage arising from injury to life, body or health, and under the Product Liability Act.
(2) In the case of slight negligence, the provider is only liable for breaches of essential contractual obligations, i.e. those whose fulfilment makes the proper performance of the contract possible in the first place and on whose observance the customer may regularly rely, limited to the foreseeable damage typical for the contract.
(3) Otherwise, liability is excluded. The provider gives no warranty for decisions the customer bases solely on the platform’s pre-checks and analyses.
§ 9 Term and termination
The user agreement runs for an indefinite period. Either party may terminate it at any time in text form; the right to terminate for cause remains unaffected. After the agreement ends, the provider deletes the customer’s data unless statutory retention obligations apply.
§ 10 Reference listing
(1) The provider is entitled to name the customer as a reference customer, stating its company name and using its logo, in particular on websites, in presentations, offers, brochures and on social media. Companies affiliated with the provider within the meaning of § 15 AktG have the same right.
(2) For this purpose, the customer grants the provider and its affiliated companies a simple, non-exclusive, royalty-free and territorially unrestricted right to use its logo and its marks. The logo is used only unchanged and in line with the design guidelines provided by the customer.
(3) The reference listing is limited to the company name, logo and the general type of service provided (e.g. “use of the WINDIQ platform”). Confidential information, in particular project details, assessment results and contract terms, is not disclosed. The listing is not designed to give the impression of a recommendation or advertising statement by the customer.
(4) The customer may object to the reference listing at any time in text form without giving reasons. Online listings are then removed within 14 days; printed materials already produced may be used up. The right of use under paragraph 2 ends with the objection.
§ 11 Changes to these terms
The provider may change these terms with effect for the future. It announces changes in text form at least six weeks before they take effect. If the customer does not object before they take effect, the changes are deemed accepted; the provider points out this consequence in the notice. If the customer objects, either party may terminate the agreement as of the date the changes take effect.
§ 12 Final provisions
(1) The law of the Federal Republic of Germany applies, excluding the UN Convention on Contracts for the International Sale of Goods.
(2) The exclusive place of jurisdiction is Munich.
(3) Should any provision be invalid, the rest of the agreement remains valid.
Part B: WakeGuard and AWIS modules
§ 1 Subject
(1) Modules are additional calculations in the platform’s map: WakeGuard for turbulence and wake, AWIS for yield calculations.
(2) A module is only available to companies for which the provider has unlocked it. The unlock applies to the company, not to individuals, and may be revoked.
§ 2 Calculation by the module partner
The calculation is carried out by the respective module partner through its interface. For this, the platform transmits the inputs of the calculation to it, in particular turbine locations, turbine types, hub heights, rotor diameters, power curves and wind conditions. No personal data is required for this.
§ 3 Results
The results are computational results based on the inputs. They are not assessments. The customer checks them for plausibility before using them.
§ 4 Use
The customer uses the modules and their results for its own projects. It does not make the modules available to third parties and does not attempt to replicate the underlying models.
§ 5 Fees
A fee for modules only applies if separately agreed.
§ 6 Reference listing
§ 7 Supplementary application
Otherwise, Part A applies.
Part C: Assessment orders through WINDIQ
§ 1 Scope and parties
(1) This part applies to assessments that a customer (“client”) requests and commissions from an assessor firm (“contractor”) through the platform.
(2) The contract for an assessment is concluded exclusively between client and contractor. The provider operates the platform and does not become a party to the contract.
(3) The terms stated by the contractor in its offer apply in addition.
§ 2 Request and offer
(1) A request is non-binding. The client may send it to several contractors and withdraw it at any time as long as no contract has been concluded.
(2) The contractor replies with an offer stating at least the net price, the delivery date and the offer document. A revised offer replaces the previous one.
§ 3 Conclusion of the contract
The contract is concluded when the client accepts the offer on the platform. The offer accepted is always the one shown to the client on acceptance. If the client declines, the request stays open and the contractor may send a new offer.
§ 4 Project data
The contractor receives the project data whose sharing the client confirmed with the request. It uses it exclusively for the offer and the order and treats it confidentially.
§ 5 Performance and remuneration
The contractor prepares the assessment under its own responsibility by the agreed delivery date. It invoices the remuneration directly to the client.
§ 6 Reference listing
(1) The contractor is entitled to name the client as a reference customer, stating its company name and using its logo, in particular on websites, in presentations, offers, brochures and on social media. Companies affiliated with the contractor within the meaning of § 15 AktG have the same right, in particular Vidia One BidCo VI GmbH as operator of the WINDIQ platform.
(2) For this purpose, the client grants the contractor and its affiliated companies a simple, non-exclusive, royalty-free and territorially unrestricted right to use its logo and its marks. The logo is used only unchanged and in line with the design guidelines provided by the client.
(3) The reference listing is limited to the company name, logo and the general type of service provided (e.g. “wind assessment”). Confidential information, in particular project details, assessment results and contract terms, is not disclosed. The listing is not designed to give the impression of a recommendation or advertising statement by the client.
(4) The client may object to the reference listing at any time in text form without giving reasons. Online listings are then removed within 14 days; printed materials already produced may be used up. The right of use under paragraph 2 ends with the objection.
§ 7 Final provisions
The law of the Federal Republic of Germany applies, excluding the UN Convention on Contracts for the International Sale of Goods. Should any provision be invalid, the rest of the agreement remains valid.
